1. Definitions

For the purposes of these Terms:

• "Company" refers to Metapher Media Labs, the owner and operator of Magpiie.
• "Magpiie" refers to the SaaS platform available at https://magpiie.com, including its applications, tools, services, and infrastructure.
• "User" refers to any individual or organization accessing or using Magpiie.
• "Workspace" refers to the collaborative environment where users manage projects, drafts, revisions, and content.
• "Content" refers to any files, data, drafts, media, comments, or materials uploaded to the platform.
• "Subscription" refers to paid access to Magpiie features under recurring billing plans.

2. Eligibility

To use Magpiie, you must:

• Be at least 18 years old
• Have the legal capacity to enter into binding agreements
• Comply with all applicable laws and regulations

If you use Magpiie on behalf of a company or organization, you represent that you have the authority to bind that organization to these Terms.

3. Account Registration

To access Magpiie services, users may be required to create an account. Users agree to:

• Provide accurate and complete information
• Maintain the confidentiality of login credentials
• Notify us immediately of unauthorized account access
• Be responsible for activities conducted through their account

Metapher Media Labs is not liable for losses resulting from unauthorized account use caused by user negligence.

4. Description of Service

Magpiie is a Software-as-a-Service (SaaS) platform designed to support content creators, teams, and organizations in managing video production workflows. Key capabilities include:

• Draft management
• Revision tracking
• Collaboration tools
• Project organization
• Content workflow management

Magpiie may introduce new features, modify existing functionality, or discontinue services at its discretion.

5. Acceptable Use

Users agree not to use Magpiie to:

• Violate any laws or regulations
• Upload illegal or harmful content
• Infringe intellectual property rights
• Distribute malware or harmful code
• Attempt unauthorized access to systems
• Interfere with platform functionality
• Harass, abuse, or harm other users

The Company reserves the right to suspend or terminate accounts that violate these rules.

6. User Content and Ownership

Users retain full ownership of the content they upload to Magpiie. However, by uploading content, users grant Metapher Media Labs a limited license to:

• Host the content
• Process the content
• Display the content within the platform
• Enable collaboration features

This license exists solely for the purpose of providing Magpiie services. The Company does not claim ownership over user-generated content.

7. Workspace Collaboration

Magpiie enables collaborative environments. Workspace administrators may:

• Invite or remove members
• Assign roles and permissions
• Manage workspace content

Users acknowledge that workspace administrators may access content stored in shared workspaces.

8. Subscription Plans and Billing

Magpiie operates on a subscription-based pricing model. Subscription fees may vary depending on the plan selected. By purchasing a subscription, users agree to pay all applicable charges.

9. Refund and Cancellation Policy

Users may cancel their subscription at any time. Cancellation will take effect at the end of the current billing cycle. Unless otherwise stated:

• Subscription payments are non-refundable
• Partial billing cycles are not refunded
• Enterprise contracts may include separate refund terms

10. Intellectual Property

All intellectual property rights related to Magpiie remain the property of Metapher Media Labs. This includes:

• Software architecture
• Platform design
• User interface
• Branding
• Logos
• Documentation

Users may not:

• Reverse engineer the platform
• Copy platform features
• Replicate the service
• Use Magpiie technology without authorization

11. Service Availability

We strive to maintain reliable service availability. However, we do not guarantee uninterrupted operation. Service interruptions may occur due to:

• Maintenance
• Infrastructure issues
• Security incidents
• Third-party outages

Metapher Media Labs will take reasonable steps to minimize downtime.

12. Data Protection and Privacy

Magpiie processes personal data in accordance with its Privacy Policy. The platform follows applicable data protection laws including:

• GDPR (General Data Protection Regulation)
• CCPA / CPRA (California Consumer Privacy Act)
• Other relevant international privacy standards

Users retain rights over their personal data including:

These services operate under their own terms and privacy policies. Metapher Media Labs is not responsible for third-party policies or actions.

15. Limitation of Liability

To the maximum extent permitted by law, Metapher Media Labs shall not be liable for:

• Business interruption
• Consequential damages

Our total liability shall not exceed the amount paid by the user for Magpiie services during the 12 months preceding the claim.

16. Disclaimer of Warranties

Magpiie is provided "as is" and "as available." We make no warranties regarding:

• Service availability
• Accuracy of information
• Compatibility with all systems
• Error-free operation

Users assume responsibility for their use of the platform.

17. Account Suspension or Termination

Metapher Media Labs reserves the right to suspend or terminate accounts if users:

• Violate these Terms
• Abuse the platform
• Engage in unlawful activity
• Attempt to compromise system security

Users may also terminate their account at any time.

18. Enterprise Agreements

Enterprise customers may enter into separate agreements with Metapher Media Labs. In case of conflict between enterprise contracts and these Terms, the enterprise agreement shall prevail.

19. Changes to the Terms

We may update these Terms from time to time. When significant changes occur:

• The "Last Updated" date will be revised
• Users may be notified via email or platform notifications

Continued use of Magpiie constitutes acceptance of updated Terms.

20. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of India. Any disputes arising from these Terms shall fall under the jurisdiction of courts located in India, unless otherwise required by applicable international law.
