End User License Agreement (EULA)

This End User License Agreement ("EULA") is a legally binding agreement between you ("User", "Customer", or "Licensee") and Metapher Media Labs ("Company", "Licensor", "we", "our", or "us"), the owner and operator of Magpiie, a Software-as-a-Service platform available at https://magpiie.com.

This EULA governs your access to and use of the Magpiie software platform, including all related services, applications, interfaces, and features.

By accessing, installing, registering for, or using Magpiie, you agree to be bound by this EULA.

If you do not agree to this agreement, you must not use the platform.

Subject to compliance with this EULA and the Terms of Service, Metapher Media Labs grants the user a limited, non-exclusive, non-transferable, and revocable license to access and use the Magpiie platform.

This license permits users to:

• Access the Magpiie platform through a web browser or authorized interface
• Use platform features within the scope of the purchased subscription
• Create and manage workspaces, drafts, and revisions
• Collaborate with team members within the platform

This license does not transfer ownership of the software to the user.

3. License Restrictions

Users may not:

• Copy, reproduce, or distribute the Magpiie software
• Modify or create derivative works of the platform
• Reverse engineer or attempt to extract source code
• Resell or sublicense access to Magpiie without authorization
• Use Magpiie for unlawful purposes
• Attempt to bypass security or access controls

Violation of these restrictions may result in suspension or termination of the license.

4. Ownership and Intellectual Property

All intellectual property rights related to Magpiie remain the exclusive property of Metapher Media Labs. This includes:

• Software code and architecture
• Platform design and interface
• Branding and trademarks
• Documentation and technical materials
• Algorithms and proprietary systems

Nothing in this EULA transfers ownership of Magpiie to users. Users receive only the limited license described in this agreement.

5. User Content

Users retain ownership of the content they upload to the Magpiie platform. However, by uploading content, users grant Metapher Media Labs a limited license to:

• Host and store the content
• Process the content to provide platform functionality
• Display content within user workspaces
• Enable collaboration features

This license exists solely to allow Magpiie to operate and provide services.

6. Account Responsibilities

Users are responsible for maintaining the security of their accounts. Users agree to:

• Provide accurate registration information
• Maintain secure passwords
• Prevent unauthorized account access
• Notify us of suspicious activity

Users are responsible for activities conducted through their accounts.

7. Subscription and Payment

Magpiie operates under a subscription-based SaaS model. Users may purchase subscription plans that grant access to platform features. Subscription payments may be processed using:

• Razorpay – primary subscription payment gateway
• PayPal – enterprise and international payments
• Payoneer – enterprise payment processing
• Direct bank transfers – enterprise contracts

Payment processing is handled by these third-party providers in accordance with their respective policies. Magpiie does not store full credit card information.

8. Subscription Renewal

Subscriptions may automatically renew based on the selected billing cycle. Users authorize Magpiie and its payment providers to charge recurring subscription fees unless the subscription is canceled prior to the renewal date.

9. Updates and Modifications

Metapher Media Labs may update or modify the Magpiie platform at any time. This may include:

• Feature improvements
• Security updates
• Interface changes
• Bug fixes

Users agree that the platform may evolve over time as part of ongoing service improvements.

10. Service Availability

While we strive to maintain reliable service availability, Magpiie may occasionally experience interruptions due to:

• Scheduled maintenance
• Infrastructure upgrades
• Security updates
• Unexpected technical issues

Metapher Media Labs will take reasonable steps to minimize disruptions.

11. Privacy and Data Protection

Magpiie processes personal data in accordance with applicable privacy regulations including:

• General Data Protection Regulation (GDPR)
• California Consumer Privacy Act (CCPA)
• California Privacy Rights Act (CPRA)

Users' personal data is processed according to our Privacy Policy and Data Processing Agreement (DPA). Users retain rights over their personal data, including access, correction, deletion, and portability where applicable.

12. Data Security

Metapher Media Labs implements security measures designed to protect user data. These may include:

• Encryption of data in transit
• Secure authentication mechanisms
• Infrastructure monitoring
• Access control systems

While we take reasonable precautions, no online service can guarantee complete security.

13. Third-Party Services

Magpiie may interact with third-party services including:

• Payment processors
• Cloud infrastructure providers
• Communication services
• Analytics tools

These services operate under their own terms and privacy policies. Metapher Media Labs is not responsible for the practices of third-party services.

14. Termination of License

This license remains valid until terminated. Metapher Media Labs may suspend or terminate access to Magpiie if users:

• Violate this EULA
• Violate applicable laws
• Abuse the platform
• Attempt unauthorized system access

Users may terminate their use of the platform at any time by closing their account.

15. Limitation of Liability

To the maximum extent permitted by law, Metapher Media Labs shall not be liable for:

• Indirect damages
• Loss of profits
• Loss of business opportunities
• Data loss
• Service interruptions

The Company's total liability shall not exceed the amount paid by the user for Magpiie services during the 12 months preceding the claim.

16. Disclaimer of Warranties

Magpiie is provided "as is" and "as available." Metapher Media Labs does not guarantee:

• Uninterrupted service
• Error-free operation
• Compatibility with all systems
• Specific performance outcomes

Users assume responsibility for their use of the platform.

17. Compliance with Laws

Users agree to comply with all applicable laws and regulations when using Magpiie. Users must not use the platform in ways that violate:

• Intellectual property laws
• Data protection regulations
• Cybersecurity laws
• Applicable international regulations

18. Governing Law

This EULA shall be governed by and interpreted in accordance with the laws of India, unless otherwise required by applicable international regulations.

Any disputes arising from this agreement shall fall under the jurisdiction of the appropriate courts in India.

19. Changes to this Agreement

Metapher Media Labs may update this EULA from time to time. If changes occur:

• The "Last Updated" date will be revised
• Users may be notified through platform announcements or email

Continued use of Magpiie after updates constitutes acceptance of the revised EULA.
